1- Payment on all credit sales is due 30 days after the produce is delivered to you, and past due on the following day. Any agreement to extend payment due dates must be in writing in a separate document, and must be signed by our company President. Salesmen do not have authority to change payment terms.
2- Past due invoices and unpaid sales shall accrue interest at the rate of 18% per year (1.5% per month) and shall continue to accrue such interest until paid in full, even after entry of a judgment for the outstanding amounts. Such interest will be due and owing whether or not we issue a formal invoice to you for additional sum.
3- In the event your account becomes past due and is referred to an attorney for collection of the amount and enforcement of our rights, you agree to pay out attorney’s fees and all costs of the process used for collection of the account including filings in any court or forurm, and you agree that such fees and costs shall be deemed an “additional charge” under the terms of the contract of sale.
4- The above terms shall also apply to all sales in which you tender a check as payment at the time of purchase, but that check is then returned to us unpaid for any reason. In that case you also agree to pay any returned check fees imposed by our bank.
5- All perishable items are sold “as is” and we cannot control how the items are handled or stored after delivery. Therefore, you have an obligation to inspect the actual produce items at the time of delivery. Failure to notify us of a defect in or quality or condition problem with the produce within 4 hours of the time you receive the produce shall constitute final acceptance of the delivery and waiver of any and all defects which may arise later .any claim for substandard goods must be accompanied by a certificate of inspection issued by the United States Department of Agriculture.
6- All warranties which may otherwise apply, by custom or statutory provisions, to our sale of goods to you are specifically excluded. Our liability for any damage or loss which you may incur in connection with the products sold shall be absolutely limited to the purchase price of the commodities sold. Any and all consequential damages, including but not limited to loss of business or good will, are specifically excluded.
